John Hill – Board Emeritus
(In 2017 John Hill one of the original members of the board
was designated an honorary member because of his failing health
he was unable to actively continue his distinguished
service to the 501(C)3 board of directors)
John donated his time and funds to Shawano Masons Inc.
John passed on April 25, 2020
Alan Heins – Board Emeritus
Al Heins one of the original board members and
founders of Shawano Masons Inc. He was owner of
Shawano’s Heins Appliance and a large Donor of
funds and knowledge to the Masonic lodge, he
passed to the lodge eternal February 5, 2020

Executed by the undersigned for the purpose of forming a Wisconsin non-stock corporation
under chapter 181 of the Wisconsin Statutes.
Article 1. The name of the corporation is: Shawano Masons, Inc.
assigned an E.I.N. Number 27-3672624 501(C)3
Article 2. The corporation is organized under Chapter 181 of the Wisconsin statutes.
Article 3. The name of the initial registered agent is Lon Swedberg.
Article 4. The street address of the initial registered agent is

Shawano, Wisconsin 54166.
Article 5. The mailing address of the initial principal office is
2324 East Richmond Street, Shawano, Wisconsin 54166.
Article 6. The Corporation shall not have members.
Article 7. The Corporation is organized exclusively to serve charitable, educational
and prevention of cruelty to children purposes including, but not limited to,
a. providing relief to the poor, distressed and underprivileged;
b. advancing education through secondary education scholarships;
c. erecting or maintaining public monuments; and
d. lessening the burdens of government.
Article 8. No part of the net earnings of the corporation shall inure to the benefit of, or be
distributable to its members, trustees, officers or other private persons, except that
the corporation shall be authorized and empowered to pay reasonable compensation
for services rendered and to make payments and distribution to further its
purposes set in article 7. The property of the corporation is irrevocably
dedicated to the purpose set forth in article 7 and no part of the net income or
assets going into the corporation shall ever inure to the benefit of any director,
officer or member thereof, or to the benefit of any private individual.
Article 9. No substantial part of the activities of the corportation shall be the carrying on of
propaganda, or otherwise attempting to influence legislation, and the corporation
shall not participate in, or intervene in (including the publishing or distribution of
statements) any political campaign on behalf of or in opposition of any candidate
for public office. Notwithstanding any other provision of these articles, the
corporation shall not, except to an insubstantial degree, engage in any activities or
exercise any powers that do not further the purposes of the corporation.
Article 10. Upon dissolution of this corporation, its assets shall be distributed for one or more
exempt purposes within the meaning of section 501(C)3 of the Internal Revenue
Code, or of the corresponding section of any future federal tax code, or shall be
distributed to the federal, State or local government, for a public purpose.
